This introductory course in Investment Banking is designed for the highly motivated student who wants
a broad but rigorous overview of what it means to do Investment Banking and be an Investment
Banker. As all Investment Banking activities by definition begin with the decision to “buy” and not
“build” from within, the course begins with Strategic Planning and Financial Management, the core
foundations of Strategic Management which address all options for growth – from building organically
to buying an existing company. It then moves to the analysis, financing and valuation of investment
acquisition opportunities, the core parameters of Investment Banking. It then finishes with the study of
corporate governance and ethical issues faced by investment bankers. The course focuses on an
examination of the primary functions of Investment Banking such as mergers & acquisitions (M&A)
and leveraged buyouts (LBO) and the tools and techniques necessary to successfully carry out these
activities.
These topics will be explored from the perspective of the corporation’s overall strategic growth
objectives and desire for continued prosperity and expansion. Corporate restructuring and redeploying
resources to activities within the business for the purpose of generating more growth potential are
internal strategic perspectives and methods to promote growth. The application of investment banking
activities through external mergers & acquisitions and leveraged buyouts is often a quicker more
powerful way to expand and grow the corporation, but entails additional and often different tools, skill
sets, and resources. The examination of these internal and external activities is the focus of this course.
